1. Parties & Definitions

This Coach Agreement ("Agreement") is between Wangari Njoroge, trading as Arĩ AI School, operating the platform at arischool.africa ("Arĩ", "the Platform", "we"), and the individual who has completed the Arĩ coach certification process ("Coach", "you").

1.1  "Session" means any live one-on-one or group coaching session, course delivery, or related teaching activity booked and delivered through the Platform.

1.2  "Group Session" means a Session delivered by Coach to two or more Students simultaneously within a single booking slot, where capacity and pricing are set by Arĩ.

1.3  "Completed Session" means a Session that (a) started within 15 minutes of the scheduled time, (b) ran for at least 45 minutes of the scheduled duration, or the full scheduled duration where shorter than 45 minutes, and (c) both Coach and Student were present and engaged. A Session where the Coach fails to appear, or ends early through Coach fault, is not a Completed Session for payment purposes.

1.4  "Student" means any individual who books or is enrolled in a Session through the Platform, including minors enrolled by a parent or guardian under the Arĩ for Kids programme.

1.5  "Coaching Track" means any of the 20 coaching specialisms listed in Section 4.1, approved for delivery on the Platform.

1.6  "Certification Fee" means the one-time fee paid by a Coach to enter the Certified Arĩ Coach Programme, as published on the Platform at the time of application.

1.7  "Platform Commission" means the percentage of gross Session and course revenue retained by Arĩ, as described in Section 6.5.

1.8  "Coach Content" means any course materials, videos, lesson plans, quizzes, or curriculum content created by Coach for delivery on the Platform.

2. Independent Contractor Status

2.1  Coach is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between Coach and Arĩ.

2.2  Coach is solely responsible for their own tax obligations (including registration with the Kenya Revenue Authority where applicable), professional licences, insurance, and any statutory obligations under the law of their home jurisdiction.

2.3  Coach confirms they have the legal right to work as a self-employed contractor and to enter into this Agreement without restriction from any existing employment, partnership, or other agreement.

3. Certification & Vetting

3.1  Coach must complete Arĩ's vetting process before being listed on the Platform. This process has five stages: (a) application review; (b) qualification and portfolio check; (c) identity verification; (d) teaching demonstration and equipment test; and (e) background and reference check.

3.2  Equipment test. As part of the teaching demonstration (stage d), Arĩ will conduct a live equipment and connectivity check. Coach must demonstrate a working webcam, microphone, and stable internet connection meeting Arĩ's minimum technical standard before certification is granted.

3.3  Coach pays the Certification Fee (currently KES 5,000–8,000 depending on the Coaching Track applied for, as published on the Platform at the time of application) to complete certification. The Certification Fee is non-refundable once vetting has commenced, except where Arĩ rejects the application before the teaching demonstration stage, in which case a full refund is issued within 14 days.

3.4  On successful certification, Coach receives: (a) a "Certified Arĩ Coach" badge and public profile listing on the Platform; (b) access to the Arĩ Coach community channel; and (c) initial Student matching at Arĩ's reasonable discretion. Arĩ will use reasonable efforts to match Coach with their first Students within 30 days of certification, based on live demand in Coach's approved Coaching Track(s). Coach's Dashboard will show live demand levels at all times to give Coach full transparency.

3.5  Certification must be renewed annually. Arĩ will notify Coach of renewal requirements and any fee at least 60 days before expiry. Failure to renew results in automatic suspension of Coach's profile until renewal is completed.

3.6  Profile accuracy. Coach must keep their Platform profile accurate and up to date at all times. Coach must notify Arĩ within 7 days of any change to their qualifications, teaching specialisms, country of residence, or contact information. Arĩ may suspend a profile found to contain inaccurate or misleading information.

3.7  Certification, the badge, and the profile listing may be suspended or permanently revoked by Arĩ at any time for breach of this Agreement, Schedule A, or applicable law.

4. Services & Coaching Tracks

4.1  Coach will deliver Sessions in the Coaching Track(s) approved during vetting. The 20 current tracks are listed below. Arĩ may add or update tracks from time to time; a Coach wishing to teach an additional track must apply and complete any supplementary vetting required.

4.2  All Sessions are delivered using the video link generated and provided by Arĩ (currently Google Meet). Coach must not create, substitute, or use any other meeting link for a Session booked through the Platform.

4.3  Coach must join each Session at least 5 minutes before the scheduled start time. If a technical issue arises, Coach must notify Arĩ immediately via WhatsApp (+254 705 446 336) so a replacement link or solution can be issued.

4.4  Coach will honour all confirmed bookings shown in the Coach Dashboard. Cancellation by Coach should only occur in genuine emergencies. Coach must inform Arĩ (not directly the Student) with as much advance notice as possible and state the reason. Repeated cancellations by Coach — defined as three or more within any 60-day period without reasonable justification — may result in profile suspension.

4.5  No recording. Coach must not record any Session — by any means, including screen recording, audio recording, or third-party tools — without prior written consent from Arĩ and the Student (and, for Students under 18, the Student's parent or guardian).

4.6  Group Sessions. Coach may deliver Group Sessions where Arĩ has assigned multiple Students to a single booking slot. Capacity limits and Group Session pricing are set by Arĩ. All conduct, confidentiality, and child safeguarding obligations apply equally to every Student in a Group Session.

5. Pricing & Payment

5.1  All Session and course pricing is set centrally by Arĩ and published on the Platform. Coach must not set, negotiate, discount, or vary pricing with any Student, under any circumstances.

5.2  Coach earnings range from KES 2,000 to KES 8,000 per Completed Session, depending on Coaching Track, format (one-on-one or group), and Coach level, as shown in the Coach Dashboard at the time of booking.

5.3  Payment schedule. Arĩ processes Coach earnings every Tuesday, covering all Sessions Completed and confirmed in the preceding week (Monday to Sunday). A Session is confirmed when the Student submits a session rating, or — if the Student submits no rating — 48 hours after the scheduled end time of the Session, whichever comes first.

5.4  Payment disputes. Coach must raise any payment query within 7 days of the Tuesday payment date by contacting hello@arischool.africa. After 7 days, the payment record is deemed accepted.

5.5  Platform Commission. Arĩ retains 35% of gross Session and course revenue as Platform Commission. This rate is displayed in the Coach Dashboard. Arĩ may change this rate with at least 30 days' written notice to Coach. Continued delivery of Sessions after that notice period constitutes acceptance of the new rate.

5.6  Arĩ does not guarantee any minimum number of Students, bookings, or earnings to Coach.

6. Ratings & Reviews

6.1  Students may rate Sessions and leave written reviews visible on Coach's public profile. Ratings are part of Arĩ's quality assurance system. Coach must not solicit, incentivise, pressure, or otherwise manipulate ratings from Students.

6.2  Arĩ monitors Coach rating averages. Where a Coach's average falls below 3.5 out of 5 across 10 or more rated Sessions, Arĩ will contact Coach to discuss improvement. If the average does not recover within 30 days, Arĩ may suspend or revoke Coach's certification.

6.3  Coach may flag a rating believed to be fraudulent, abusive, or in breach of the Student Terms of Service by contacting Arĩ within 7 days of the rating being posted. Arĩ will investigate and, if a breach is confirmed, remove the rating.

7. Non-Circumvention — No Off-Platform Sessions

7.1  For 12 months following a Student's most recent booking with Coach on the Platform, Coach must not solicit, accept, arrange, or facilitate any direct payment from that Student, or arrange to teach that Student, outside the Platform. This restriction applies equally to Group Session participants.

7.2  Coach must not share personal contact details — phone number, WhatsApp, personal email, or social media handles — with a Student for the purpose of arranging Sessions outside the Platform.

7.3  Consequences of breach. Breach of this Section results in immediate suspension pending investigation. On confirmation of breach: Arĩ will permanently remove Coach from the Platform; Coach forfeits all pending and unpaid earnings; and Coach is permanently blacklisted from future participation on the Platform as a Coach or Student.

7.4  This Section does not restrict Coach's independent teaching practice with students who have never been introduced to Coach through the Platform.

8. Code of Conduct & Child Safeguarding

8.1  Coach agrees to the Code of Conduct set out in Schedule A, covering professional standards, financial integrity, privacy, anti-discrimination, and Platform reputation.

8.2  Arĩ for Kids — additional obligations. Where Coach is matched with a Student under the Arĩ for Kids programme (ages 5–17), all of the following apply:

  • Coach must hold a valid Certificate of Good Conduct (or equivalent clearance from a recognised authority in Coach's jurisdiction) issued within the previous 12 months, provided to Arĩ before being matched with any Student under 18. This clearance must be renewed annually while Coach delivers Kids sessions.
  • All Sessions with a Student under 18 must take place through the Platform's video link. A parent or guardian must be permitted to join or observe the Session at any time, without prior notice to Coach.
  • Coach must never request, accept, or initiate private contact — messages, calls, social media connections, gifts, or in-person meetings — with a Student under 18 outside the Platform, under any circumstances.
  • If a Student under 18 discloses anything that raises a concern about their safety or wellbeing, Coach must report it to Arĩ within 24 hours via hello@arischool.africa or +254 705 446 336.

8.3  Breach of Section 8.2 results in immediate and permanent removal from the Platform without prior notice. Arĩ may report such breaches to the relevant authorities under the Children Act (Cap. 586) and the Sexual Offences Act (No. 3 of 2006) of Kenya.

9. Intellectual Property

9.1  Coach Content created by Coach for the Platform remains Coach's intellectual property. Coach grants Arĩ a worldwide, royalty-free, non-exclusive licence to host, display, stream, and distribute Coach Content on the Platform: (a) while Coach remains an active Certified Arĩ Coach; and (b) for up to six months after termination, so that Students who have already purchased access may complete their courses.

9.2  Where Coach creates content using Arĩ's Course Builder tool, the underlying educational IP remains Coach's. The hosting infrastructure, architecture, and delivery system are owned by Arĩ.

9.3  Coach grants Arĩ a non-exclusive, royalty-free licence to use Coach's name, photograph, and professional biography for Platform marketing purposes while Coach remains actively certified.

9.4  The Arĩ name, logo, brand assets, tagline, and the "Certified Arĩ Coach" badge are the property of Arĩ. Coach must remove all use of the badge and any reference to active certification immediately upon termination.

10. Confidentiality

10.1  Coach will keep confidential all Student personal data, Platform business information, pricing structures, Platform technology, and any other information marked as confidential or clearly proprietary, both during and after the term of this Agreement.

10.2  Coach must not make public statements — on social media, in press, in reviews, or in any forum — that are disparaging or defamatory of Arĩ, its leadership, Students, or other Coaches. This clause does not prevent Coach from raising genuine concerns privately through the dispute resolution process in Section 14.

11. Data Protection

11.1  Coach will handle all Student personal data accessed via the Platform in accordance with the Kenya Data Protection Act, 2019 (KDPA).

11.2  In particular, Coach will: (a) use Student data only to deliver booked Sessions and for no other purpose; (b) not copy, store, screenshot, or export Student data outside the Platform; (c) not share Student data with any third party; and (d) notify Arĩ within 24 hours of becoming aware of any data breach or suspected breach involving Student data.

12. Term & Termination

12.1  This Agreement begins on the date Coach completes certification and continues until terminated under this Section.

12.2  Either party may terminate this Agreement with 14 days' written notice to the other.

12.3  Arĩ may terminate this Agreement immediately and without notice if Coach: (a) breaches Section 7 (Non-Circumvention) or Section 8.2 (Child Safeguarding); (b) engages in fraud or dishonesty; (c) behaves in a way that brings the Platform into disrepute; (d) receives repeated substantiated Student complaints; or (e) fails to maintain annual certification renewal or required background clearance for Kids sessions.

12.4  On termination for any reason: Coach loses access to the Platform and the Coach Dashboard immediately; Coach must cease use of the "Certified Arĩ Coach" badge; and earnings for Sessions Completed before the termination date remain payable on the next Tuesday payment cycle, except where forfeited under Section 7.3.

13. Force Majeure

Neither party will be in breach of this Agreement, or liable for delay or failure to perform any obligation, where such failure is directly caused by circumstances beyond that party's reasonable control, including but not limited to: acts of God, natural disasters, government orders, civil unrest, internet or power infrastructure failure, or platform outages by third-party providers. The affected party must notify the other as soon as reasonably practicable and resume performance as quickly as possible. If a Force Majeure event continues for more than 30 days, either party may terminate this Agreement on 7 days' written notice.

14. Dispute Resolution & Governing Law

14.1  Any dispute arising from this Agreement will first be addressed through good-faith written negotiation. The party raising the dispute must do so in writing, setting out the nature of the issue and the outcome sought.

14.2  If the dispute is not resolved within 30 days of the written notice, it will be referred to mediation in Nairobi, Kenya.

14.3  If mediation fails to resolve the dispute within a further 30 days, it will be referred to binding arbitration under the Arbitration Act of Kenya (Cap. 49), with the seat of arbitration in Nairobi.

14.4  This Agreement is governed by the laws of Kenya.

15. Liability & Indemnity

15.1  The Platform is provided on an "as is" basis. Arĩ does not guarantee any minimum number of Students, bookings, or earnings to Coach.

15.2  Coach indemnifies Arĩ against any claim, loss, or damage arising from Coach's conduct, advice, content, or teaching delivered during a Session, or from Coach's breach of this Agreement.

15.3  To the maximum extent permitted by Kenyan law, Arĩ's total liability to Coach under this Agreement is limited to the Platform Commission retained from Coach's Sessions in the three months preceding the claim.

15.4  Nothing in this Agreement limits either party's liability for fraud, wilful misconduct, or any matter that cannot be excluded by law, including child safety.

16. General

16.1  This Agreement, together with Schedule A, is the entire agreement between the parties regarding Coach's engagement with the Platform, superseding all prior discussions or understandings.

16.2  Arĩ may update this Agreement with at least 30 days' written notice via the Platform or to Coach's registered email. Continued use of the Platform after the effective date constitutes acceptance of the updated terms.

16.3  If any provision of this Agreement is found invalid or unenforceable, the remaining provisions continue in full force.

Schedule A — Coach Code of Conduct

This Code of Conduct applies to all Certified Arĩ Coaches at all times while using the Platform, delivering Sessions, or representing Arĩ in any capacity.

  Professional Standards

  • Treat every Student with respect, patience, and professionalism, regardless of age, gender, ability, nationality, religion, or background.
  • Arrive prepared for every Session. Review the Student's profile and stated learning goals before each booking.
  • Deliver Sessions within the approved Coaching Track. Do not introduce off-topic content, personal political or religious views, unverified information, or promotional material for external products or services.
  • Maintain a professional video environment: appropriate clothing, a tidy and neutral background, and no distractions during the Session.
  • Use inclusive, respectful language at all times. Avoid jargon, slang, or expressions that may confuse or alienate Students.

  Financial & Commercial Integrity

  • Do not request, accept, or offer gifts, favours, or any payment outside the pricing published on the Platform.
  • Do not promote competing platforms, personal external businesses, or any paid external services to Students during or in connection with a Session.
  • Do not attempt to direct Students to pay for sessions, courses, or materials outside the Platform in any way.

  Privacy, Recording & Data

  • Do not record any Session by any means — video, audio, or screen capture — without prior written consent from Arĩ and the Student (and for Students under 18, their parent or guardian).
  • Do not take screenshots of Student screens, personal information, submitted work, or session content.
  • Do not copy, export, download, or share any Student personal data accessed through the Platform with any third party, for any reason.
  • Use Student contact information only as provided through the Platform Dashboard to confirm bookings. Do not contact Students through personal channels.

  Child Safety

  • Never communicate privately with a Student under 18 outside the Platform — no personal WhatsApp, email, social media, or in-person contact.
  • Never request personal information from a Student under 18, including their school name, home address, or daily routine.
  • Allow parents or guardians to observe or join Kids sessions at any time without prior notice.
  • If a Student under 18 discloses anything concerning their safety or wellbeing, report it to Arĩ within 24 hours.

  Anti-Discrimination & Harassment

  • Do not discriminate against, harass, or disadvantage any Student, parent, or fellow Coach on any grounds whatsoever.
  • Do not make comments of a sexual, romantic, or otherwise inappropriate nature to any Student.
  • Do not engage in or tolerate bullying, intimidation, or offensive behaviour in any Platform channel, including the Coach community.

  Platform Reputation

  • Do not make public statements — on social media, in reviews, to the press, or elsewhere — that are disparaging or defamatory of Arĩ, its leadership, Students, or other Coaches.
  • Raise any concerns, feedback, or grievances privately with Arĩ via hello@arischool.africa or +254 705 446 336.

  Reporting

  • Report technical issues, Student concerns, suspected safeguarding issues, or any breach of this Code of Conduct to Arĩ promptly via hello@arischool.africa or +254 705 446 336.

Consequences of breach: Breach of this Code of Conduct may result in immediate suspension, permanent removal from the Platform, and forfeiture of pending earnings. Serious breaches involving child safety will be reported to the relevant Kenyan authorities under the Children Act (Cap. 586) and the Sexual Offences Act (No. 3 of 2006).
